These terms govern your use of the Alphonce platform. By accessing or using Alphonce, you agree to be bound by these terms. If you do not agree, you must not use the platform.
Important — Beta Software
Alphonce is currently in beta. This means the platform may contain bugs, errors, incomplete features, and unexpected behaviour. We do not guarantee that the platform will be available at all times, that data will be accurate or complete, or that any feature will work as described. By using Alphonce during beta, you accept these risks entirely.
We may change, suspend, or discontinue any part of the platform at any time without notice. We may also impose limits on certain features or restrict access without liability. Your feedback during beta is welcome but not compensated.
We reserve the right to modify these terms at any time. Material changes will be notified at least 7 days in advance via email or platform notice. Continued use after changes constitutes acceptance.
Alphonce is a technology platform, not a financial adviser, broker-dealer, or investment manager. We are not authorised or regulated by the Financial Conduct Authority (FCA) or any other UK regulatory body to provide investment advice, arrange deals in investments, or manage investments.
Nothing on the Alphonce platform constitutes:
All investment decisions are yours alone. You are solely responsible for assessing the suitability of any investment, strategy, or trade. Past performance of any strategy, backtest, or simulation is not indicative of future results.
You should consult an independent financial adviser before making investment decisions. The value of investments can go down as well as up, and you may not get back the amount you invested.
To use Alphonce, you must create an account. You agree to provide accurate, complete, and current information, and to update it promptly if anything changes. You must be at least 18 years old and capable of entering into a binding contract.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised access or security breach. Alphonce is not liable for any loss or damage arising from your failure to secure your account.
Accounts are personal to you. You may not share your login credentials, sell or transfer your account, or allow others to access the platform through your account. We may suspend or terminate accounts that violate this rule.
Alphonce provides tools for investment research, portfolio tracking, strategy development, and automated execution. These are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.
Specifically, we do not warrant that:
We may perform maintenance, updates, or backups at any time, which may result in temporary service interruption or data loss. We are not liable for any such interruption or loss.
Alphonce connects to third-party brokers (such as Trading 212, Alpaca, and Interactive Brokers) via API. These integrations are subject to the terms and conditions of the respective broker.
Alphonce does not hold client money or assets. We do not execute trades directly. All trades are executed through your connected broker account. You are responsible for understanding and complying with your broker's terms, fees, and regulatory status.
You authorise Alphonce to access your broker account via OAuth or API tokens that you provide. You can revoke this access at any time through your broker's platform or by disconnecting the integration in Alphonce. We do not store your broker login passwords.
We are not responsible for broker API downtime, rate limits, rejected orders, pricing errors, or any other issue originating from your broker. Data displayed in Alphonce may be delayed or inaccurate due to broker API limitations. You should always verify critical information directly with your broker.
ClawBot allows you to automate trading strategies. By using ClawBot, you acknowledge and accept the following:
The Alphonce marketplace allows users to buy, sell, and rent trading strategies. The following terms apply:
When you purchase or rent a strategy from the marketplace, you understand that:
All marketplace purchases are final unless the strategy is materially misrepresented or defective as determined by us in our sole discretion.
If you list a strategy for sale, you warrant that:
We reserve the right to remove any listing, withhold seller payouts, and suspend seller accounts for violations.
Strategies with a "Verified Alpha" badge have met certain criteria (such as 3 months of live trading with positive Sharpe ratio). This badge indicates historical performance only and does not guarantee future results. We are not liable for losses from strategies with or without this badge.
Our AI-powered research engine generates insights based on natural language queries. By using this feature, you agree that:
Alphonce is classified as a Tooling Provider under the EU AI Act (Limited Risk category). Deployment risk and investment decision-making responsibility remain entirely with you.
Alphonce offers free and paid subscription tiers. Paid plans are billed in advance via Stripe. Prices are shown in your local currency where possible, but billing is processed in GBP.
Certain features consume Compute Units (CUs), which are included in your plan or available as metered overage. CU consumption is calculated based on the type and intensity of operations performed. You are responsible for monitoring your usage.
Subscriptions can be cancelled at any time from your account settings. You will retain access until the end of your current billing period. We do not provide prorated refunds except where required by law or in cases of material platform defect.
We may adjust pricing with 30 days' advance notice. If you do not agree to a price change, you may cancel before the change takes effect.
You agree not to use Alphonce to:
We may suspend or terminate your account immediately for any violation of these rules without refund or liability.
Alphonce and its licensors own all intellectual property rights in the platform, including software, designs, logos, trademarks, and content (excluding user-generated strategies and data).
You retain ownership of any strategies, code, or content you create and upload. By uploading to the marketplace, you grant us a licence to host, display, and distribute your content through the platform.
The Alphonce name, logo, and branding are our trademarks. You may not use them without our prior written consent.
Important limitation
To the maximum extent permitted by law, Alphonce, Ochieng & Co, and our officers, directors, employees, and agents will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the platform.
This includes, without limitation, liability for:
Our total aggregate liability to you for any claim arising from or relating to these terms or the platform is limited to the amount you paid us in the 12 months preceding the claim, or £100 if you have not paid anything.
Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
You agree to indemnify and hold harmless Alphonce, Ochieng & Co, and our affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from:
You may close your account at any time through your account settings or by contacting us. We may suspend or terminate your account immediately if you breach these terms, pose a security risk, or if required by law.
Upon termination:
Provisions that by their nature should survive termination will survive, including intellectual property, liability limitations, indemnity, and governing law.
These terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising from these terms or your use of the platform will be subject to the exclusive jurisdiction of the courts of England and Wales.
Before initiating legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at legal@alphonce.io. We will make reasonable efforts to resolve disputes within 30 days.
These terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Alphonce regarding the platform.
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision of these terms does not constitute a waiver of that right or provision.
You may not assign or transfer these terms without our prior written consent. We may assign these terms freely.
We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.
